1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of iThinhTech websites, applications, marketplace/community features, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

2. Electronic Records and Signatures

You agree that electronic actions such as creating an account, clicking acceptance checkboxes, submitting forms, and making online transactions may serve as your electronic signature and are legally binding to the fullest extent permitted by applicable law (including E-SIGN and UETA where applicable).

You consent to receive agreements, notices, disclosures, and transaction records electronically.

• You must notify us promptly of unauthorized use or security incidents related to your account.

5. Marketplace and Community Conduct

You are responsible for content you post in listings, messages, and community discussions. Content must be lawful, accurate, and non-infringing. We reserve the right to remove content or restrict accounts that violate these Terms or trust/safety policies.

Certain actions (for example posting, commenting, or messaging) may require authenticated community accounts and may be subject to moderation.

6. Subscriptions, Billing, and Payments

• Paid features are billed according to the plan and billing cycle selected at checkout.
• By subscribing, you authorize recurring charges until cancellation (where recurring billing applies).
• Prices, taxes, and plan features may change with advance notice where required by law.
• Payment processing is handled by third-party providers; your use of payment methods may also be governed by their terms.

Refund eligibility is governed by our Refund Policy.

7. Intellectual Property

The Services, including software, branding, design, text, graphics, and other materials (excluding user-generated content), are owned by iThinhTech or its licensors and are protected by applicable intellectual property laws.

You agree to defend, indemnify, and hold harmless iThinhTech from claims, liabilities, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Services, your content, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, create legal or security risk, or where required by law. Provisions that by nature should survive termination will remain in effect.

14. Governing Law and Dispute Resolution

These Terms are governed by applicable laws of the jurisdiction designated by iThinhTech business operations, without regard to conflict-of-law principles. Venue and dispute procedures may be specified in supplementary agreements where applicable.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date and, where required, by providing notice through the Services or electronic communication channels.
